Association Bylaws

Article I - Name The name of this Association shall be “The Lily Lake Summerhaven Association, Incorporated”.
Article II - Membership The membership of this Association shall consist of all persons who own or rent in the subdivisions previously known as “Lily Lake” and “Summerhaven” in the Town of Wheatland, Kenosha County, Wisconsin. Renters must use this mailing address as their primary residence. Members in good standing will be whose member households who have met their financial obligation to the Association for the current year and will be referred to as “members in good standing” hereafter.
Article III - Annual Dues The members of this Association shall annually contribute the sum of $10.00 per household, payable by April First each year. These contributions shall constitute acknowledgment that as a member in good standing they will receive first consideration in all things pertaining to the Association and the privilege to vote at any regular or special meeting. These contributions will be used by this Association to defray the cost of the administration of its functions and the insurance required to protect its health and welfare. The above amount may be changed at any regular or special meeting by a vote of the members in good standing that are present.
Article IV - Board Of Commissioners
Section I The affairs of this Association shall be managed and governed by a Board of Five Commissioners, consisting of a President, First Vice President, Second Vice President, Secretary, and Treasurer. These Commissioners shall be duly elected members in good standing and shall hold office for a term of two years, consistent with the fall election schedule. In odd-numbered years, we shall elect the President, Second Vice President, and the Treasurer. In even-numbered years, we shall elect the First Vice President and the Secretary. All officers shall be elected individually for a specific office by a full vote of the members in good standing that are present.
Section II The Commissioners may appoint committees, chairmen, or agents.
Section III No Commissioner shall receive a salary or other compensation for their services to the Association. Children of members in good standing who are at least twenty-one years of age may be elected to the Board Of Commissioners.
Section IV The Board Of Commissioners shall hold a meeting as soon as practical after each election for the purpose of completing their organization and delegation of duties.
Section V The Board Of Commissioners shall hold other such meetings as required.
Section VI A simple majority of three Commissioners shall constitute a quorum to conduct the business of the Board.
Section VII The Board Of Commissioners shall use the spring meeting to help set that year’s activities and their dates. The fall meeting shall be used for the election of officers and to report on the health and welfare of the Association since the previous fall meeting’s report.
Section VIII The Board Of Commissioners shall not, in any one year of office, spend nor contract for expenditures greater than the receipts for the fiscal year they are in office, and providing that the treasury is not in the red at the time of the fall meeting after all of the current bills are paid or monies set aside for their resolution.
Article V - Officers and Their Duties
Section I The general offices of this Association shall consist of the President, First Vice President, Second Vice President, Secretary, Treasurer, and such other officers, committees, chairmen, or employees as may from time to time be appointed by the Board Of Commissioners.
Section II The President shall be the chief executive officer of this Association. He/she shall preside at all meetings of the Board Of Commissioners and of Members. He/she shall have general supervision, direction, and active management of the business of the Association. He/she shall see that all orders and resolutions of the Board Of Commissioners are carried into effect. He/she shall execute all contracts and agreements authorized by the Board Of Commissioners. He/she shall approve all checks and other instruments drawn on or payable out of the funds of the Association, and all bills, notes, and other evidences of indebtedness to the Association. He/she shall from time to time report to the Board Of Commissioners, as well as the Association at its meetings, on matters within his/her knowledge which are of interest or require notice.
Section III The First Vice President, in the absence or in case of the inability of the President to act, shall have all the powers and shall perform all of the duties of the President. He/she shall be in charge of special committees or other duties prescribed by the President.
Section IV The Second Vice President shall be in charge of Block Captains and membership activities.
Section V The Secretary shall keep the minutes of the meetings of the Board Of Commissioners and all other Association meetings, and shall read these minutes at the appropriate time or make them available for perusal. He/she shall be responsible for keeping the Master List of Association members and for their notification of all appropriate meetings they should attend.
Section VI The Treasurer shall have the custody of all the funds of the Association. When necessary and proper, he/she shall endorse all checks, notes, or other obligations and evidences of payment of money, payable to the Association or coming into his/her possession. Upon approval of the President, he/she shall sign all checks and other instruments drawn on, or payable out of, funds of the Association, and all bills, notes, and other evidences of indebtedness to the Association.
Section VII The Board Of Commissioners may at any time by a majority vote ask for, demand, receive and accept the resignation of any officer or employee of the Association, and upon his/her refusal to tender such resignation or resign, the majority of the Board Of Commissioners may summarily dismiss him/her from office, declare such vacancy, and elect a successor.
Section VIII The Block Captains shall be appointed by the Board Of Commissioners for an indefinite period of time. However, their tenure may be terminated by the Board for failing to service their designated Neighborhood Watch Area in a manner consistent with the needs of the member, the Community, or the Association. They shall be the primary means for the transfer of information to and from all members.
Article VI - Meetings
Section I The Association shall conduct two regular meetings each year. Once shall be in the spring and the other in the fall, around Labor Day. The agenda items shall be dictated by the business needs of the Association at that point in time. The fall meeting shall include the regular election of officers to the Board Of Commissioners as described in Article IV, Section I.
Section II Special meetings may be called for at any time by the President or by order of the Board Of Commissioners.
Section III At all meetings of the Association, each member in good standing shall have only one vote.
Section IV A quorum shall consist of fifteen members in good standing and all business transacted by such quorum shall be legal and binding upon this Association.
Section V Notice of all regular and special meetings of the Association shall be given to all members in good standing at least five days before such meeting.
Section VI In the event of the death or resignation of a Commissioner, a member in good standing may be appointed temporarily by the remaining Board Of Commissioners until the next regular meeting when an election will be held to fill that vacancy.
Article VII - Agreements, Contracts No agreements, contracts, or obligation shall be made without the consent and approval of the Board Of Commissioners.
Article VIII - Fiscal Year The fiscal year of this Association shall begin with the first day of the new year, January first, and end with the thirty-first day of December of each year.
Article IX - Amending Bylaws The Board Of Commissioners may, by a simple majority of three Commissioners, alter or amend these bylaws at any regular or special meeting called for this purpose.
Article X - Dissolution of the Association In the event this Association is dissolved, by either the Board Of Commissioners or by the members in good standing, any remaining funds shall be turned over to a similar not-for-profit organization to be selected by the Board Of Commissioners.
